These Terms of Service ("Terms") govern your access to and use of luxanolabs.com (the "Site"), operated by Luxano Labs Inc. ("Luxano", "we", "us", "our"). By accessing or using the Site, you agree to be bound by these Terms.

1. Acceptance of terms

By using the Site, you confirm that you are at least 18 years old and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use the Site.

2. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Site. You agree not to:

The "Luxano" and "Nexora" names, logos, and any associated marks are trademarks of Luxano Labs Inc.

You may not copy, modify, distribute, sell, lease, or create derivative works based on any content from the Site without our prior written consent. Limited personal, non-commercial viewing of the Site is permitted.

4. Products and services

The Site describes Luxano products (including Nexora) and services. Descriptions are for informational purposes only and do not constitute a binding offer. Any engagement to purchase, license, or implement a Luxano product or service is governed by a separate, signed agreement between you (or your organization) and Luxano. Submitting a contact form, requesting a demo, or making any inquiry through the Site does not create a contractual or business relationship.

5. Third-party content and links

The Site may contain links to third-party websites, products, or services that are not owned or controlled by Luxano. We do not endorse and are not responsible for the content, accuracy, privacy practices, or availability of any third-party sites or services. Accessing third-party sites is at your own risk.

6. No warranties

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

You agree to defend, indemnify, and hold harmless Luxano and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your violation of these Terms or your misuse of the Site.

9. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the courts located in Ontario, Canada.

10. Changes to these Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective" date at the top of this page. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
